Sustainability-related disclosures

Ventures.eu, Sociedade de Capital de Risco, S.A. (“Ventures.eu”), manager of Ventures.eu Fund I (the “Fund”), publishes the following information under Regulation (EU) 2019/2088 on sustainability-related disclosures in the financial services sector (SFDR).

1. Integration of sustainability risks in investment decisions (Art. 3 SFDR)

A sustainability risk is an environmental, social or governance event or condition that, if it occurs, could cause an actual or potential material negative impact on the value of an investment. Ventures.eu integrates sustainability risks into its investment decisions where they are relevant to the business of each investee company. During due diligence, the investment team identifies material sustainability risks, e.g. regulatory, governance or reputational risks. After investment, we monitor material risks as part of our regular portfolio reviews.

2. No consideration of adverse impacts of investment decisions on sustainability factors (Art. 4 SFDR and Art. 12 of Delegated Regulation (EU) 2022/1288)

Ventures.eu does not consider adverse impacts of its investment decisions on sustainability factors.

The Fund’s investment policy is agnostic as to sector and asset type, and it invests in early-stage companies that generally do not produce the data needed to measure the principal adverse impact indicators in Table 1 of Annex I to Delegated Regulation (EU) 2022/1288. Ventures.eu therefore does not currently have the data needed to report on those indicators. Ventures.eu has not set a date to start considering principal adverse impacts. It will review this position at least annually and update this statement if these circumstances change.

3. Remuneration policy (Art. 5 SFDR)

Ventures.eu’s remuneration is mainly fixed and is not linked to the number or size of investments made. Any variable remuneration depends on the Fund’s long-term performance, which sustainability risks may affect. The remuneration policy therefore does not encourage risk-taking that ignores sustainability risks.

4. Product classification

Ventures.eu Fund I does not promote environmental or social characteristics and does not have sustainable investment as its objective (Art. 8 and 9 SFDR). The investments underlying this financial product do not take into account the EU criteria for environmentally sustainable economic activities (Art. 7 of Regulation (EU) 2020/852).
